Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Fortinet, Inc. (the “Company”) filed a Current Report on Form 8-K on February 28, 2020 disclosing that, on February 26, 2020, the Board of Directors (the “Board”) of the Company appointed Kelly Ducourty to join the Board as a director whose term will expire at the Company’s 2020 annual meeting of stockholders, with such appointment being effective as of April 17, 2020.
At the time of Ms. Ducourty’s appointment, the Board had not yet determined on which of the Board’s standing committees Ms. Ducourty would serve.
On April 17, 2020, the Board appointed Ms. Ducourty to the Human Resources Committee of the Board, effective as of the date of the Company’s 2020 Annual Meeting of Stockholders.
