Fortinet Announces Closing of Initial Public Offering of Common Stock and Exercise of Over-Allotment Option

SUNNYVALE, CA, Nov 23, 2009 (MARKETWIRE via COMTEX News Network) -- Fortinet(R) (NASDAQ: FTNT) -- a provider of network security appliances and unified threat management (UTM) solutions -- today announced that it has closed its previously announced initial public offering of 12,500,000 shares of its common stock at a price to the public of $12.50 per share. In connection with the initial public offering, the underwriters exercised in full their option to purchase an additional 1,875,000 shares of common stock from the company. As a result, the total initial public offering size was 14,375,000 shares, which consisted of 7,656,683 shares sold by the company and the remaining 6,718,317 shares sold by the selling stockholders. Fortinet will not receive any proceeds from the sale of shares by the selling stockholders.

Morgan Stanley & Co. Incorporated, J.P. Morgan Securities Inc., and Deutsche Bank Securities Inc. acted as joint book-runners for the offering. Robert W. Baird & Co.
